Welcome to Fullpilot. These Terms of Service ("Terms") govern your access to and use of the Fullpilot platform, services, and applications (collectively, the "Services") provided by Fullpilot, Inc. ("Fullpilot," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account or using Fullpilot, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Services

Fullpilot provides an AI-powered sales automation platform that enables businesses to deploy AI agents for various sales-related tasks including outbound outreach, deal recovery, churn prevention, payment collection, and revenue attribution.

3. Account Registration and Security

To use our Services, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access or security breach
  • Be responsible for all activities that occur under your account

You may not share your account credentials or allow others to access your account.

4. Acceptable Use Policy

You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited communications, or violate anti-spam laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Remove or modify any proprietary notices or labels
  • Use the Services to compete with Fullpilot or develop competing products

5. Pricing and Payment

Fullpilot operates on a performance-based pricing model where you pay based on the revenue generated by our AI agents:

  • Pricing is based on revenue attribution and agent performance
  • Payment terms will be specified in your subscription agreement
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to modify our pricing with 30 days' notice
  • You are responsible for all taxes associated with your use of the Services

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain all rights to your data, and we will only use your data as described in our Privacy Policy and as necessary to provide the Services.

You represent and warrant that you have obtained all necessary consents and permissions to provide data to Fullpilot and to allow us to process such data as described in these Terms.

7. AI Agent Behavior and Compliance

While we design our AI agents to operate within legal and ethical boundaries, you are responsible for:

  • Ensuring your use of AI agents complies with applicable laws and regulations
  • Monitoring agent activities and communications
  • Reviewing and approving agent configurations and messaging
  • Maintaining compliance with industry-specific regulations (e.g., TCPA, CAN-SPAM)

8. Intellectual Property

The Services, including all software, algorithms, designs, and content, are owned by Fullpilot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

9. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULLPILOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FULLPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO FULLPILOT IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Fullpilot, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to access the Services will immediately cease
  • We may delete your data after a reasonable period
  • You remain liable for all charges incurred before termination

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.

14. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Fullpilot.
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision is not a waiver of such right or provision.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms at any time.
